Introduction

Welcome to Narraify. These Terms of Service ("Terms") govern your access to and use of the Narraify website, platform, and AI audiobook generation service (collectively, the "Service") operated by Vast Nexus LLC ("Narraify," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

Eligibility

You must be at least 13 years of age (or the applicable age of digital consent in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet the eligibility requirements and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Account Registration and Security

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or other security breaches.

Subscriptions and Free Trial

Narraify offers cloud-based AI audiobook generation as a subscription service, including a free trial with 10 minutes of voice generation for new users. Our subscription plans, pricing, and included features are detailed on our Pricing page.

Subscriptions are prepaid on a billing cycle basis according to your chosen plan (monthly or annual). You may upgrade or cancel your subscription at any time; cancellation will take effect at the end of the current billing cycle. All fees are non-refundable except as required by applicable law or as expressly stated in our refund policy.

Payment and Billing

Payment processing is handled by our authorized Merchant of Record (MoR). By providing a payment method, you represent that you are authorized to use that payment method. You authorize us (through our Merchant of Record) to charge your payment method for the applicable subscription fees and any applicable taxes. We reserve the right to change our prices upon reasonable notice; price changes will take effect at the start of your next billing cycle.

Intellectual Property

Our Intellectual Property: The Narraify platform, including its software, algorithms, design, trademarks, and branding, is owned by Vast Nexus LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

Your Content: You retain all rights to the manuscripts, text, and other content you upload to the Service ("User Content"). By uploading User Content, you grant us a limited, non-exclusive license solely to process, store, and transform your content in order to provide the Service to you.

User Content and Generated Output

You are solely responsible for your User Content and the audiobook files generated from it ("Generated Output"). You represent and warrant that:

  • You own or have obtained all necessary rights to the User Content
  • Your User Content does not infringe upon the intellectual property, privacy, or other rights of any third party
  • Your User Content complies with all applicable laws and regulations

Narraify does not claim ownership of Generated Output. You are free to use, distribute, and commercialize audiobooks created through the Service.

Acceptable Use

You agree not to use the Service to:

  • Create content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Infringe upon the intellectual property or privacy rights of others
  • Generate spam, fraudulent content, or misleading information
  • Attempt to gain unauthorized access to the Service, user accounts, or computer systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Violate any applicable laws, regulations, or export controls

We reserve the right to suspend or terminate accounts that violate this Acceptable Use policy.

Third-Party Links and Services

The Service may contain links to third-party websites and services that are not owned or controlled by Narraify. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. You acknowledge and agree that Narraify shall not be liable for any damages or losses caused by your use of any third-party content or services.

Disclaimer

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. TO THE FULLEST EXTENT PERMITTED BY LAW, NARRAIFY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VAST NEXUS LLC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID US FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless Vast Nexus LLC, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us or using the account deletion feature in your account settings. Provisions of these Terms that by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, and limitations of liability.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without reference to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Wyoming.

Changes to These Terms

We reserve the right to modify these Terms at any time at our sole discretion. If we make material changes, we will provide notice at least 30 days before the changes take effect via the Service or email. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.
